Objective: 

On completion of this course, the students will be able to;

CO 1:   Build about the Indian constitution it's rights and responsibilities

CO 2:   Attribute  to the company law and it's essential elements

CO 3:    Facilitate understanding of law of torts and it's usage

CO 4:   To integrate legal reasoning as per the provisions of law and also the legal abbreviations so used

CO 5:     To facilitate understanding of case studies relating to various laws. To assess various legal terminologies in context to usage.

Indian Constitution                                                                                                   

  • Preamble, citizenship, fundamental rights and duties,
  • directive principles of state policy, state under Constitution, President and Governor,
  • Lok Sabha , Rajya Sabha and Legislative assembly, Legislative Council ,
  • Supreme Courts and High Courts, Land mark amendment in Constitution, List of subjects: Center, state and concurrent.

Meaning and Nature of Company; Promotion and Incorporation of a Company; Familiarization with the Concept of Board of Directors, Shareholders and Company Meetings; Company Secretary; E-Governance.

·       Elements of Law relating to Contract

Law of contract: Offer and acceptance, consideration and competency to contract., agreements, types of contract, performance of contract, frustration of contract, quasi contract, breach of contract and remedies

Drawing inference, number test, sequence and series, statement and assumptions

  • Law of Torts

Basics of torts, specific defense, nuisance and negligence, strict, absolute and vicarious liability, trespass, malicious prosecution.

  • Elements of Company Secretaries Legislation:

The ICSI, vision, mission, motto and core values of the institute, company secretary under company secretaries act 1980, functions of company secretary under company secretaries act 1980 and companies act 2013 and role of company secretary in employment and practice.

Meaning and nature of company, types of companies, incorporation of company, types of capital, board of directors, board of meetings and shareholders meetings, CSR, Business Ethics, Ethical Dilemma

Legal fundamental and terms , legal problems reading and understanding case, legal terminology and maxims, legal reasoning, questions of fact, questions of law, landmark judgment of Supreme Court and High Court and comprehensive reading.

 

  • Common Business Terminologies

Terms defines under various laws, rules and regulations, including financial and non financial terms.
