Incorporation and formation of a company Promoters, unctions, Duties and Liabilities, Methods of remuneration.

Concepts of shares, Types of shares (Equity shares, Preference shares), debentures, Types of debentures

Unit IV: 

Memorandum of association, Articles of association, prospectus, Statement in lieu of prospectus.

Unit V: 

Membership in a company, difference between a member and shareholder, Contributory (Definition).

Winding up of Company (Voluntary, Under Court’s Supervision, Compulsory by the Court).
